IMPORTANT NOTICE:
By purchasing the CODAI 7-Day App Build service and completing the intake form, you agree to be bound by these Terms of Service. Please read carefully before proceeding with payment.
1.1 Legal Entity. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and INTERACTIVE MEDIA SOLUTIONS SRL, a Romanian limited liability company registered under Romanian law ("we," "us," or "our"), operating under the CODAI brand name for the CODAI 7-Day App Build service ("Service").

2.1 Service Offering. The Service provides rapid custom web application development with a guaranteed 7-day delivery timeline. This Service is designed for founders and businesses who:
The Service is not suitable for open-ended discovery projects, exploratory development, ongoing maintenance contracts, or projects requiring continuous iteration after delivery.
2.2 Service Components. The Service includes:
2.3 Scope Limitations. The Scope is strictly limited to features specified in the Intake Form. Features include authentication, database, payments, responsive UI, deployment, and admin panel as detailed. Advanced features requiring extensive third-party integration, complex AI/ML models, blockchain functionality, or real-time video/audio processing may require additional discussion and are not guaranteed within the 7-day timeline.
2.4 Idea Confidentiality Before Payment. Before payment is completed, CODAI does NOT request, expect, or review the Client's detailed project idea or specifications. The full project idea, requirements, and specifications are collected exclusively through the Intake Form AFTER payment has been confirmed, under the protection and confidentiality obligations of these Terms. This ensures that Client's intellectual property is protected from the moment it is shared with CODAI.
2.5 Service Access and Authentication. Access to the Service requires authentication via Google Sign-In. The Google account used for authentication will be associated with the Client's payment and project identity throughout the service delivery process. Client is responsible for maintaining the security of their Google account credentials.
2.6 Scope Freeze. Once the Intake Form is submitted, the Scope is final and immutable. No changes, additions, or modifications to requirements will be accepted during the 7-day development period. Any requested changes after submission will be rejected.
3.1 Upfront Payment Requirement. The Project Fee of €20,000 EUR must be paid in full before project commencement and Intake Form access. Payment is processed securely through Stripe, a PCI-DSS Level 1 certified payment processor. The service flow is as follows:
3.2 No Refunds After Intake Form Submission (Except as Specified). Once payment is confirmed and the Intake Form is submitted, no refunds will be issued prior to the Delivery Date, except:
3.3 Currency and Taxes. All fees are stated in Euros (EUR). Client is responsible for any applicable taxes, including VAT, sales tax, or other governmental taxes and fees. If required by law, appropriate taxes will be added to the invoice.

If we do not deliver a functional Deliverable within 7 calendar days from Intake Form submission, you are entitled to a full refund of €20,000 EUR. No questions asked.
90% REFUND IF UNSATISFIED
If we deliver the Deliverable on time but you are not satisfied with the quality or functionality, you may request a refund within 7 days of delivery.
In this scenario:
4.1 On-Time Delivery Commitment. CODAI guarantees delivery of the Deliverable within seven (7) calendar days from the timestamp of Intake Form submission. The Deliverable will be provided via GitHub repository access and deployed to a production-ready environment.
4.2 Full Refund for Non-Delivery (100%). If CODAI fails to deliver a functional Deliverable by the Delivery Date, Client is entitled to a full refund of 100% of the Project Fee (€20,000 EUR). Refunds will be processed within 7 business days to the original payment method.
4.3 Partial Refund for Unsatisfactory Delivery (90% Refund / 10% Retention). If CODAI delivers the Deliverable by the Delivery Date but Client is not satisfied with the quality, functionality, or implementation, Client may request a refund within 7 calendar days of delivery. In this scenario:
4.4 Refund Request Process. To request a refund under Section 4.3, Client must send written notice via email to support@codai.ro within 7 calendar days of delivery. Refunds will be processed within 14 business days of receiving the refund request.
4.5 No Refunds After Acceptance Period. If Client does not request a refund within 7 calendar days of delivery, the project is considered accepted, and no refunds will be issued.
5.1 Intake Form Completion. Client must complete the Intake Form immediately after payment with accurate, complete, and detailed requirements. Incomplete or vague specifications may result in implementation choices made at CODAI's discretion.
5.2 Timely Communication. Client must respond to Telegram messages within 24 hours. CODAI aims to respond to Client inquiries within a reasonable timeframe, typically within a few hours, but does not guarantee specific business hours or response times. Delayed responses from Client may impact delivery timelines, but CODAI remains committed to the 7-day deadline.
5.3 Access and Credentials. Client must provide necessary access credentials for deployment platforms, domain registrars, or third-party services within 24 hours of request. Failure to provide access may delay deployment but does not extend the delivery deadline.
5.4 Feasibility Assessment. Client acknowledges that the 7-day timeline requires realistic scope definition. CODAI will assess project feasibility AFTER Intake Form submission. If the submitted scope is deemed clearly undeliverable within 7 days, CODAI reserves the right to cancel the project with full refund as provided in Section 11.2.
6.1 Telegram-Only Communication. All project communication occurs exclusively via Telegram. Client will receive an invitation to a dedicated project channel after Intake Form submission.
6.2 Zero Meetings Policy. The Service does not include video calls, phone calls, or in-person meetings. All communication is asynchronous and text-based for maximum efficiency.
6.3 Daily Updates. CODAI provides daily progress updates via Telegram, including screenshots, repository commits, and implementation decisions.
6.4 Response Times. For urgent technical issues or blocking questions, CODAI aims to respond within a reasonable timeframe, typically within a few hours. However, no strict guaranteed response times or business hours are provided. Client inquiries will be addressed as promptly as possible to maintain project momentum.
7.1 Source Code. Client receives complete source code via GitHub repository, including all frontend, backend, database schemas, API endpoints, and deployment configurations.
7.2 Documentation. Deliverable includes README.md with setup instructions, environment variable documentation, API endpoint documentation, and deployment guide.
7.3 Deployment. Application is deployed to production environment (Vercel, Firebase, or similar) with custom domain setup if provided by Client.
7.4 Intellectual Property Transfer. Upon full payment and project completion, Client receives complete ownership of:
7.5 Third-Party Licenses. Open-source libraries and frameworks retain their original licenses. Client is responsible for compliance with third-party license terms.
8.1 Quality Warranty. CODAI warrants that the Deliverable will:
8.2 Post-Delivery Support. CODAI provides 7 calendar days of bug fix support after delivery for critical issues preventing core functionality. After this period, no free support is provided.
8.3 No Performance Guarantees. CODAI does not guarantee specific performance metrics, uptime percentages, scalability beyond reasonable usage, or compatibility with future browser/platform updates.
8.4 Disclaimer of Warranties. Except as expressly stated in Section 8.1, the Service is provided "AS IS" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
9.1 Maximum Liability. CODAI's total liability for any claims arising from the Service is limited to the Project Fee paid (€20,000 EUR).
9.2 Exclusion of Consequential Damages. CODAI is not liable for indirect, incidental, consequential, or punitive damages, including but not limited to:

10.1 GDPR Compliance. CODAI processes personal data in accordance with the General Data Protection Regulation (GDPR) (EU) 2016/679 and Romanian Law 190/2018.

11.1 Client Cancellation Before Intake Form Submission. Client may cancel the project at any time before Intake Form submission and receive a full refund of the Project Fee (€20,000 EUR). To request cancellation, Client must send written notice via email to support@codai.ro. After Intake Form submission, cancellation is subject to refund policies in Section 4.
11.2 CODAI Cancellation. CODAI reserves the right to cancel the project with full refund if:
11.3 Effect of Termination. Upon termination:
12.1 Governing Law. These Terms are governed by the laws of Romania, without regard to conflict of law principles.
12.2 Jurisdiction. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Bucharest, Romania.
12.3 Informal Resolution. Before initiating formal proceedings, parties agree to attempt good-faith negotiation for 30 days.
12.4 Language. These Terms are executed in English. In case of translation discrepancies, the English version prevails.
13.1 Entire Agreement. These Terms constitute the entire agreement between parties and supersede all prior communications, proposals, and agreements.
13.2 Modifications. CODAI reserves the right to modify these Terms at any time. Changes apply to future transactions only. Existing projects are governed by the Terms in effect at payment date.
13.3 Severability. If any provision is found unenforceable, the remaining provisions remain in full force and effect.
13.4 Waiver. Failure to enforce any right or provision does not constitute a waiver of that right or provision.
13.5 Assignment. Client may not assign these Terms without CODAI's written consent. CODAI may assign these Terms to any successor or affiliate.
13.6 Force Majeure. Neither party is liable for delays caused by circumstances beyond reasonable control, including but not limited to natural disasters, wars, pandemics, or infrastructure failures. In such cases, delivery timelines may be extended, and refund policies adjusted proportionally.
