01The Service

Interactive Media Solutions S.R.L. (IMS SRL), CUI 37237457, Reg. Com. J18/241/2017, Str. 23 August nr. 1B, Et. 1, Ap. 8, Târgu Jiu, jud. Gorj, România ("codai", "we") provides: the codai inference gateway at ai.codai.ro, which exposes a single public model name, `codai`, and routes each request to one of several frontier models based on the task; the web dashboard at hub.codai.ro for keys, devices, sessions, usage and billing; the codai Android app and codai desktop app, which let the model perform tasks on your devices; command-line tools and SDKs; and the shared-sessions service that mirrors a session between your devices (together, the "Service"). We are not registered for VAT.

The models behind `codai` are provided by third parties (for example Anthropic via Google Vertex AI, Microsoft Azure AI Foundry). We may add, remove or re-route models at any time; a request is fulfilled by whichever model we select unless you use your own provider key. How routing works and which providers we use is described in the AI & models policy (codai.ro/ai-policy). Claude is a trademark of Anthropic, PBC; codai is not affiliated with or endorsed by Anthropic, Google or Microsoft.

Outputs may be inaccurate. Model outputs are generated automatically by artificial intelligence and can be wrong, incomplete, outdated or offensive, even when they sound confident. You must evaluate every output for accuracy and suitability for your use case — including review by a human where appropriate — before relying on it, acting on it or publishing it.

Some features are marked experimental, beta or planned in the documentation. They may change or be withdrawn without notice.

02Accepting these Terms

You accept these Terms by creating an account or by using the Service. You must be at least 18 years old to do so.

Accepting these Terms is separate from any consent under the Privacy Policy. Optional processing — using your data to improve codai models, sending crash reports, the Android Accessibility and microphone permissions — is never a condition of using the Service and is asked for separately, off by default, and can be withdrawn at any time without affecting your account.

03Your account

• You must be at least 18 years old and able to enter a binding contract.
• You sign in through auth.codai.ro with Google, GitHub, an email and password, or a passkey, optionally protected by two-factor authentication. Keep your credentials, API keys and devices secure; anything done with them is treated as done by you until you tell us at [email protected].
• One person per account. Team plans allow the number of seats stated in the plan.
• You must give accurate billing information and keep it current.

04Acceptable use

You may use the Service only in compliance with applicable law, these terms and our Acceptable Use Policy (codai.ro/acceptable-use), which forms part of these Terms and also passes through the usage policies of the model providers behind `codai`. In particular, you agree not to:

• use the Service for illegal automation, fraud, harassment, spam, unauthorised access to systems or data, or to generate content that infringes the rights of others;
• automate a phone, computer or account you do not own or are not authorised to control, or use the Android Accessibility features on someone else’s device without their explicit permission;
• bypass, disable or circumvent security, anti-automation or anti-abuse protections of any third-party app, website or service, or use the Service in violation of a third party’s terms of service;
• attempt to extract model weights, reverse engineer the gateway, share or resell access to `codai` without a written agreement, or use the Service to build a competing model-routing service by systematically harvesting outputs;
• exceed rate limits, share one account across multiple people, or interfere with the Service’s operation.

The apps ask you to confirm sensitive actions (payments, sending messages, changing settings in banking or password apps). You remain responsible for every action you approve and for the tasks you start, including their effect on third-party apps and accounts.

We may suspend or restrict access immediately if we reasonably believe these rules are being broken or the Service is being abused.

We restrict content and accounts as described in our DSA page (codai.ro/dsa). Automated filters screen requests for prompt-injection, abuse and illegal content and may block or annotate a request; decisions to suspend accounts or disable shared content are taken by a person, and you can contest them as explained there.

Reporting illegal content and single point of contact (Articles 11, 12 and 16 of the Digital Services Act): anyone, with or without an account, can report content they consider illegal with the notice form at codai.ro/report-abuse. 05Bring your own key (BYOK)

The BYOK plan and the paid plans unlock bring-your-own-key in the codai apps: you add your own API key for OpenAI, Anthropic, Google Gemini or OpenRouter, the key is kept only on your device (in the operating system’s secure storage), and the app sends those model requests directly to that provider. Those model requests do not pass through codai: the provider bills you for them under its own terms and data handling, and codai does not process, bill or guarantee them. The codai features you keep using alongside them — your account, shared sessions, memory, MCP servers and settings sync — run on the codai Service under these Terms and the Privacy Policy; the plan fee pays for them.

06Plans, credit and payment

• The codai apps, CLI and SDKs are provided free of charge. Usage of the hosted `codai` model is paid: through a subscription plan or through prepaid credit.
• Paid plans and usage credit are sold and charged through Stripe. Card data is entered on Stripe’s pages and never reaches our systems.
• The seller is not registered for VAT and does not yet hold the special VAT code needed to supply businesses established in another EU member state (art. 317 of the Romanian Fiscal Code). Until it does, we do not accept orders from such businesses under their VAT number; you may buy as a consumer instead. Romanian companies can get the invoice issued to the company (CUI); businesses outside the EU are invoiced without Romanian VAT.
• Plans are a flat monthly price that includes a number of verified successful tasks. Each additional verified task is charged the per-task price shown at codai.ro/pricing; a task whose model usage exceeds that price is charged the excess at the standard token rates. A task that is neither verified by tests or the harness nor confirmed by you is charged at most its raw model (token) cost, never the per-task price. Plain chat and short completions are charged at token rates from your plan budget or prepaid credit. Prices are shown in euro and may change with 14 days’ notice; a change never applies retroactively. You may cancel before the new price applies, without any charge.
• Consumed usage is final and non-refundable, because the third-party model cost is incurred at the moment of the request, except for your statutory remedies if the Service was not in conformity (OUG 141/2021).
• If you are a consumer in the EU you may withdraw from a purchase of prepaid credit or a subscription within 14 days without giving a reason (Directive 2011/83/EU; in Romania, OUG 34/2014). Credit and model usage are digital content supplied immediately: by requesting that performance start right away and using the Service within the 14 days, you expressly agree that the right of withdrawal is lost for the part already consumed (OUG 34/2014 art. 16 lit. m). The unused portion is refunded.
• You can exercise the right of withdrawal with the online withdrawal function at codai.ro/withdrawal (OUG 34/2014 art. 11¹) or by e-mail to [email protected]. At checkout you are asked to tick an unticked box to request immediate performance and acknowledge the loss of withdrawal for the part used; we record that acceptance with your order.
• Subscriptions renew automatically until cancelled from the dashboard (hub.codai.ro → Billing); cancellation takes effect at the end of the current period.
• If a payment fails we may suspend paid features until it is settled. Failed or disputed payments may result in the account being downgraded to the free tier.

07Open-source clients and the hosted service

The codai Android app, desktop app, CLI, SDKs and protocol definitions are released under the Apache License 2.0. Their licence governs your use of that source code; you may modify and redistribute it under its terms. The `codai` name and logo are trademarks of codai and are not licensed under Apache-2.0.

These Terms govern the hosted Service (gateway, console, dashboard, shared-sessions service and identity service), which is not open source. Using a self-built client against the hosted Service is allowed and remains subject to these Terms.

The on-device models offered in the Android app derive from Google Gemma and are provided under the Gemma Terms of Use; they are downloaded at runtime and not covered by our licence.

08Your content and outputs

You keep all rights in the prompts, files and data you submit. You grant us only the licence needed to process them to provide the Service. To the extent permitted by law, we assign to you any rights we may have in outputs generated for you. We do not use your content to train models unless you opt in.

You are responsible for having the right to submit the content you send, including screen content of third-party apps and any personal data of other people it contains.

09Your voice and likeness

If you create a custom voice in codai Studio, you give us a non-exclusive, non-transferable licence to process your recordings and the voice profile made from them only to generate audio that you request, for as long as the custom voice exists. We do not use your voice for anyone else, sell it, or use it to train models. You can delete the custom voice at any time. We then stop using it and delete the voice profile and recordings as described in the Privacy Policy.

You may create a custom voice only from your own voice. You confirm that you are 18 or older. Custom voices are available only in the languages shown when you create one (currently English; Romanian once our provider enables it). You are responsible for how you use audio made with a custom voice, including disclosing that it is AI-generated where the law requires (Article 50(4) of the EU AI Act). Audio and video made with a custom voice carry an "AI-generated voice" label and machine-readable AI-provenance marks (including an imperceptible audio watermark), and you must not remove them. We refuse texts that ask for one-time codes, passwords or payments, or that concern elections, in a cloned voice.

If you are a business customer, you will indemnify us against third-party claims arising from a custom voice you created in breach of this section. Nothing in this section limits your rights as a consumer under mandatory law.

10Sharing, review links and remix

When you share content by link (for example a Studio creative or a transcript), you confirm that you hold, or are licensed to grant, all rights needed for the people with the link to view it — including rights in images, video, music, voices, fonts, trademarks and any people shown — and that sharing it does not breach any law or third-party right.

If you allow remix on a share link, you grant every codai user who opens that link a non-exclusive, worldwide, royalty-free licence, for the duration of the underlying rights, to copy the creative and its assets into their own account, modify it and use the result, to the extent of the rights you hold, and you authorise us to make those copies. Do not allow remix of assets you are not entitled to sublicense (for example stock media licensed only to you). Turning remix off or revoking the link stops new remixes but does not affect copies already made.

Approvals and comments given through a review link are informal workflow signals. We do not verify reviewers’ identity: the name shown is the one they typed, and anyone holding the link can use it. An approval through a review link is not an electronic signature and does not by itself create, amend or accept a contract.

You are responsible for the content you share and, where you invite reviewers, for informing them and for the comments you keep. If you use codai as a business, you indemnify us against third-party claims arising from content you shared or allowed to be remixed in breach of this section. Nothing in this section limits your rights as a consumer under mandatory law.

11Availability and disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy of model output, or uninterrupted operation. Third-party model providers may be unavailable or change behaviour without notice. We publish operational status at status.codai.ro. Nothing here limits warranties that consumer law does not allow to be excluded.

12Limitation of liability

To the maximum extent permitted by law, codai’s total liability arising out of or relating to the Service in any 12-month period is limited to the fees you paid to codai in the 12 months before the event giving rise to the claim. We are not liable for indirect or consequential loss, lost profits, lost data, or for actions performed on your devices or accounts by tasks you started or approved.

This limitation does not apply to liability for intent or gross negligence, for death or personal injury, or to any liability that cannot be limited under applicable law, including mandatory consumer protection rules.

13Termination

You can stop using the Service at any time and delete your account in the dashboard (hub.codai.ro). We may terminate or suspend your account with 14 days’ notice for convenience, or immediately for a material breach of these Terms, non-payment, or where required by law. On termination your access ends; data is deleted according to the Privacy Policy. Sections on liability, governing law and content licences survive termination.

14Switching provider and exporting your data (EU Data Act)

The hosted Service is a data processing service within the meaning of Regulation (EU) 2023/2854 (the Data Act). You may switch to another provider, or to your own infrastructure, and end your contract at any time:

• Notice: request switching or full deletion from the dashboard or at [email protected] with a notice period of at most 2 months.
• Transition: after the notice period ends we keep the Service running and support the switch for a transitional period of 30 days (extendable once at your request), during which you can export your data.
• Exportable data: your account data, API key metadata, usage records, sessions and transcripts, memory records and settings, in structured, commonly used, machine-readable formats (JSON / CSV) through the dashboard export (hub.codai.ro → Settings → Data & privacy) and the API. The API is OpenAI- and Anthropic-compatible, so clients can be pointed at another provider without code changes.
• Charges: switching and data export are free of any switching charge. Until 12 January 2027 we may at most charge the direct costs we incur for an unusually large export; from 12 January 2027 no switching or data-egress charges apply at all.
• After the transition you can still retrieve your data for at least 30 days; after that the contract ends and we erase your data under the Privacy Policy and confirm the erasure, unless you asked us to keep it longer until your export is confirmed.

15Changes to these Terms

We may update these Terms. We will notify you by email or in the dashboard at least 14 days before a material change takes effect, and the dashboard and the apps ask you to accept a materially changed version before you continue. If you do not agree, stop using the Service and delete your account before the change takes effect. The version number and date at the top identify the current text.

16Governing law and disputes

These Terms are governed by the law of Romania. Disputes with business customers are subject to the jurisdiction of the competent courts of Bucharest, Romania. If you are a consumer, you may bring proceedings against us in the courts of Romania or in the courts of the EU country where you live, and we may bring proceedings against you only in the courts of the country where you live (Regulation (EU) No 1215/2012, art. 18; Legea 193/2000); choosing Romanian law does not deprive you of the protection of the mandatory rules of your country of residence.
