01The Service

codai (Dragos Catalin Vladulescu), Romania ("codai", "we") provides: the codai inference gateway at ai.codai.ro, which exposes a single public model name, `codai`, and routes each request to one of several frontier models based on the task; the web console at codai.ro for keys, devices, sessions, usage and billing; the codai Android app and codai desktop app, which let the model perform tasks on your devices; command-line tools and SDKs; and the shared-sessions service that mirrors a session between your devices (together, the "Service").

The models behind `codai` are provided by third parties (for example Anthropic via Google Vertex AI, Microsoft Azure AI Foundry). We may add, remove or re-route models at any time; a request is fulfilled by whichever model we select unless you use your own provider key. Model outputs are generated automatically and may be inaccurate. You are responsible for reviewing them before relying on them.

Some features are marked experimental, beta or planned in the documentation. They may change or be withdrawn without notice.

02Accepting these Terms

You accept these Terms by creating an account or by using the Service. You must be at least 18 years old to do so.

Accepting these Terms is separate from any consent under the Privacy Policy. Optional processing — using your data to improve codai models, sending crash reports, the Android Accessibility and microphone permissions — is never a condition of using the Service and is asked for separately, off by default, and can be withdrawn at any time without affecting your account.

03Your account

• You must be at least 18 years old and able to enter a binding contract.
• You sign in through auth.codai.ro with Google, GitHub or an email and password. Keep your credentials, API keys and devices secure; anything done with them is treated as done by you until you tell us at [email protected].
• One person per account. Team plans allow the number of seats stated in the plan.
• You must give accurate billing information and keep it current.

04Acceptable use

You may use the Service only in compliance with applicable law and these terms. You agree not to:

• use the Service for illegal automation, fraud, harassment, spam, unauthorised access to systems or data, or to generate content that infringes the rights of others;
• automate a phone, computer or account you do not own or are not authorised to control, or use the Android Accessibility features on someone else’s device without their explicit permission;
• bypass, disable or circumvent security, anti-automation or anti-abuse protections of any third-party app, website or service, or use the Service in violation of a third party’s terms of service;
• attempt to extract model weights, reverse engineer the gateway, share or resell access to `codai` without a written agreement, or use the Service to build a competing model-routing service by systematically harvesting outputs;
• exceed rate limits, share one account across multiple people, or interfere with the Service’s operation.

The apps ask you to confirm sensitive actions (payments, sending messages, changing settings in banking or password apps). You remain responsible for every action you approve and for the tasks you start, including their effect on third-party apps and accounts.

We may suspend or restrict access immediately if we reasonably believe these rules are being broken or the Service is being abused.

05Bring your own key (BYOK)

The apps let you configure your own API key for OpenAI, Anthropic, Google Gemini or OpenRouter. When you do, requests go directly from the app to that provider. You are responsible for that provider’s fees, terms and data handling; codai does not process, bill or guarantee those requests. Keys are stored only on your device.

06Plans, credit and payment

• The codai apps, CLI and SDKs are provided free of charge. Usage of the hosted `codai` model is paid: through a subscription plan or through prepaid credit.
• Paid plans and usage credit are sold and charged through Stripe. Card data is entered on Stripe’s pages and never reaches our systems.
• Usage is metered per request (tokens, tools, sub-agents) and deducted from your plan budget or prepaid credit as it is consumed. Prices are shown at codai.ro/pricing and may change with 14 days’ notice; a change never applies retroactively.
• Consumed usage is final and non-refundable, because the third-party model cost is incurred at the moment of the request.
• If you are a consumer in the EU you may withdraw from a purchase of prepaid credit or a subscription within 14 days without giving a reason (Directive 2011/83/EU; in Romania, OUG 34/2014). Credit and model usage are digital content supplied immediately: by requesting that performance start right away and using the Service within the 14 days, you expressly agree that the right of withdrawal is lost for the part already consumed (OUG 34/2014 art. 16 lit. m). The unused portion is refunded.
• Subscriptions renew automatically until cancelled from the console; cancellation takes effect at the end of the current period.
• If a payment fails we may suspend paid features until it is settled. Failed or disputed payments may result in the account being downgraded to the free tier.

07Open-source clients and the hosted service

The codai Android app, desktop app, CLI, SDKs and protocol definitions are released under the Apache License 2.0. Their licence governs your use of that source code; you may modify and redistribute it under its terms. The `codai` name and logo are trademarks of codai and are not licensed under Apache-2.0.

These Terms govern the hosted Service (gateway, console, shared-sessions service and identity service), which is not open source. Using a self-built client against the hosted Service is allowed and remains subject to these Terms.

The on-device models offered in the Android app derive from Google Gemma and are provided under the Gemma Terms of Use; they are downloaded at runtime and not covered by our licence.

08Your content and outputs

You keep all rights in the prompts, files and data you submit. You grant us only the licence needed to process them to provide the Service. To the extent permitted by law, we assign to you any rights we may have in outputs generated for you. We do not use your content to train models unless you opt in.

You are responsible for having the right to submit the content you send, including screen content of third-party apps and any personal data of other people it contains.

09Availability and disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy of model output, or uninterrupted operation. Third-party model providers may be unavailable or change behaviour without notice. We publish operational status at status.codai.ro. Nothing here limits warranties that consumer law does not allow to be excluded.

10Limitation of liability

To the maximum extent permitted by law, codai’s total liability arising out of or relating to the Service in any 12-month period is limited to the fees you paid to codai in the 12 months before the event giving rise to the claim. We are not liable for indirect or consequential loss, lost profits, lost data, or for actions performed on your devices or accounts by tasks you started or approved.

This limitation does not apply to liability for intent or gross negligence, for death or personal injury, or to any liability that cannot be limited under applicable law, including mandatory consumer protection rules.

11Termination

You can stop using the Service at any time and delete your account from the console. We may terminate or suspend your account with 14 days’ notice for convenience, or immediately for a material breach of these Terms, non-payment, or where required by law. On termination your access ends; data is deleted according to the Privacy Policy. Sections on liability, governing law and content licences survive termination.

12Changes to these Terms

We may update these Terms. We will notify you by email or in the console at least 14 days before a material change takes effect. If you do not agree, stop using the Service and delete your account before the change takes effect; continued use after that date means you accept the new Terms. The version number and date at the top identify the current text.

13Governing law and disputes

These Terms are governed by the law of Romania. Disputes are subject to the jurisdiction of the competent courts of Bucharest, Romania. If you are a consumer in the EU, you also keep the protection of the mandatory rules of your country of residence and may use the European Commission’s Online Dispute Resolution platform or the Romanian consumer protection authority (ANPC).
